8. AI Agent Services — Specific Terms

The following terms apply specifically to AI agent setup, management, and automation services:

8.1 Nature of AI Services

AI agents are software systems that use artificial intelligence models to perform tasks autonomously. While we strive for accuracy and reliability, AI outputs may occasionally be inaccurate, incomplete, or unexpected. You agree to implement appropriate human oversight for critical business processes.

8.2 Third-Party AI Models

Our services may utilize third-party AI model providers (including but not limited to Anthropic, OpenAI, Google, and others). These providers have their own terms of service and usage policies. We are not responsible for changes to, outages of, or limitations imposed by third-party AI model providers.

8.3 Data Processing by AI Agents

You are responsible for ensuring that any data processed by AI agents complies with applicable data protection laws, including the GDPR. You must not instruct AI agents to process special category data (as defined in Art. 9 GDPR) without ensuring a valid legal basis and appropriate safeguards.

8.4 AI Output Disclaimer

AI outputs are provided "as is." OpenClaw does not guarantee the accuracy, completeness, or fitness for purpose of any content generated by AI agents. You are responsible for reviewing and validating AI outputs before acting on them, especially for financial, legal, medical, or safety-critical decisions.

8.5 Usage Limits

Each service plan includes a defined allocation of AI model usage (tokens, API calls, or agent tasks). Usage beyond the allocated limits may incur additional fees, which will be communicated to you in advance.

9. Acceptable Use

You agree not to use our Services to:

  • Violate any applicable law, regulation, or third-party rights.
  • Generate, distribute, or store content that is illegal, harmful, defamatory, obscene, or discriminatory.
  • Engage in unauthorized access to our systems, other users' accounts, or any third-party systems.
  • Introduce malware, viruses, or other harmful code into our platform.
  • Circumvent, disable, or interfere with security features of our platform.
  • Use AI agents for spam, phishing, fraud, or any form of deceptive practices.
  • Reverse-engineer, decompile, or attempt to extract the source code of our software.
  • Resell, sublicense, or redistribute our Services without written authorization.
  • Use our Services in a way that could damage the reputation of OpenClaw Intelligence.

We reserve the right to investigate violations and take appropriate action, including suspension or termination of your account.

10. Limitation of Liability

To the maximum extent permitted by Dutch law:

  • Aggregate liability: OpenClaw's total aggregate liability arising out of or in connection with these Terms or the Services shall not exceed the total amount of fees you have paid to OpenClaw in the 12 months preceding the claim.
  • Exclusion of consequential damages: In no event shall OpenClaw be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of business opportunities, or reputational damage, regardless of the cause of action or the theory of liability.
  • AI-specific limitation: OpenClaw shall not be liable for any loss or damage arising from decisions made based on AI-generated outputs without adequate human review.

Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by Dutch law.

11. Warranties & Disclaimers

OpenClaw warrants that it will provide the Services with reasonable care and skill, consistent with industry standards.

Except as expressly stated in these Terms:

  • The Services are provided "as is" and "as available."
  • We do not warrant that the Services will be uninterrupted, error-free, or free from harmful components.
  • We do not warrant that AI agents will produce accurate, complete, or reliable outputs in all circumstances.
  • We make no warranties regarding the results or outcomes you may achieve through the use of our Services.

To the maximum extent permitted by applicable law, we disclaim all implied warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Indemnification

You agree to indemnify, defend, and hold harmless OpenClaw Intelligence B.V., its directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Services in violation of these Terms.
  • Any Client Content you provide that infringes third-party rights.
  • Your failure to comply with applicable laws or regulations.
  • Any unauthorized use of your account.

13. Suspension & Termination

13.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in your dashboard. For recurring subscriptions, cancellation takes effect at the end of the current billing period.

13.2 Termination by OpenClaw

We may suspend or terminate your account if:

  • Sections 7, 10, 11, 12, 14, and 18 shall survive termination.

14. Confidentiality

Both parties agree to treat all non-public information received from the other party as confidential ("Confidential Information"). This includes, but is not limited to, business strategies, technical configurations, financial data, customer lists, and proprietary methodologies.

Each party agrees to:

  • Use Confidential Information solely for the purpose of fulfilling obligations under these Terms.
  • Not disclose Confidential Information to third parties without prior written consent, except to employees or contractors with a need to know and under similar confidentiality obligations.
  • Take reasonable measures to protect the confidentiality of such information.

Confidentiality obligations do not apply to information that is publicly known, independently developed, lawfully received from a third party, or required to be disclosed by law.

15. Data Protection

We process personal data in accordance with our Privacy Policy and the GDPR. Where OpenClaw processes personal data on your behalf as a data processor (for example, data processed by AI agents acting on your instructions), we will enter into a Data Processing Agreement (DPA) as required by Article 28 GDPR.

You are responsible for ensuring that you have a valid legal basis for any personal data you instruct OpenClaw or AI agents to process on your behalf.

16. Force Majeure

Neither party shall be liable for any failure or delay in performance resulting from circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, war, terrorism, government actions, power outages, internet failures, cyberattacks, or failures of third-party AI model providers.

The affected party shall notify the other party as soon as reasonably practicable and make reasonable efforts to mitigate the impact. If a force majeure event continues for more than 60 days, either party may terminate the affected services upon written notice.

17. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will:

  • Post the updated Terms on our website with a new "Last updated" date.
  • Notify you by email at least 30 days before the changes take effect.
  • Provide a summary of the key changes.

Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance. If you do not agree with the changes, you may terminate your account before the effective date.

18. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict-of-law provisions.

18.1 Amicable Resolution

In the event of any dispute arising out of or in connection with these Terms, both parties shall first attempt to resolve the dispute through good-faith negotiation within 30 days of written notice.

18.2 Jurisdiction

If the dispute cannot be resolved amicably, it shall be submitted to the exclusive jurisdiction of the competent courts in Maastricht, the Netherlands.
